Please read these Terms and Conditions carefully before using Oryxwell's website or engaging any of our services. By using this website or booking a service, you agree to be bound by these terms.

1. Definitions

• "Oryxwell," "we," "us," "our" — the business entity operating at 78/9 Tha Phae Road, Chang Khlan, Mueang Chiang Mai, Chiang Mai 50100, Thailand.
• "Client," "you," "your" — any individual using our website or engaging one of our services.
• "Services" — financial education sessions including the Expense Awareness Audit, Insurance & Protection Review, and Retirement Readiness Assessment.
• "Session" — a scheduled educational appointment conducted in person or via video call.
• "Materials" — written documents, reports, worksheets, or other deliverables produced as part of a Service.

2. Acceptance of Terms

By submitting an enquiry, booking a session, or using this website, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. These terms form the entire agreement between you and Oryxwell regarding the subject matter herein.

3. Nature of Services

Oryxwell provides financial education — structured sessions designed to help individuals understand their financial situation, products, and options. Our services do not constitute financial advice, investment advice, tax advice, or legal advice. We do not recommend specific financial products, manage investments, or hold any licence to provide regulated financial services.

Decisions based on information obtained during Oryxwell sessions are made solely at your own discretion and responsibility.

4. Booking and Scheduling

• Sessions are scheduled following an initial enquiry and confirmation from Oryxwell.
• A session is confirmed only upon receipt of written confirmation from us.
• Sessions may be conducted in person at our Chiang Mai office or via video call, as agreed at booking.
• We reserve the right to reschedule sessions due to unforeseen circumstances. In such cases, alternative arrangements will be offered promptly.

5. Cancellation and Rescheduling

• Clients may reschedule a session with at least 48 hours' notice at no charge.
• Cancellations with less than 24 hours' notice may result in a cancellation fee equivalent to 50% of the session fee.
• No-shows without prior notice will be charged the full session fee.
• Oryxwell will not charge cancellation fees where a session is cancelled due to circumstances beyond the client's control, assessed on a case-by-case basis.

6. Payment Terms

• Prices are quoted in Thai Baht (฿) and are payable prior to or at the time of the first session of each service.
• Payment may be made by bank transfer, PromptPay, or cash at our office.
• Prices displayed on our website are inclusive of all fees. There are no hidden charges.
• Service prices are subject to change. The price confirmed at booking will apply to that booking.

7. Deliverables and Materials

Written materials produced as part of a Service (expense maps, coverage summaries, readiness reports) are delivered digitally to the email address provided at booking. These documents are prepared specifically for each client and reflect the information shared during sessions. They are provided for personal use only and may not be reproduced, distributed, or used commercially without written permission from Oryxwell.

8. Intellectual Property

All content on this website — including text, design, frameworks, and educational materials — is the intellectual property of Oryxwell unless otherwise stated. You are granted a limited, non-exclusive, non-transferable licence to access and use the website for personal, non-commercial purposes. Systematic copying or reproduction of website content is prohibited.

9. Confidentiality

Oryxwell treats all personal and financial information shared during sessions as strictly confidential. We will not disclose session content to any third party except where required by law. Clients are equally expected to maintain the confidentiality of any proprietary frameworks or materials provided by Oryxwell.

10. Disclaimers

Our services are provided on an "as is" basis. While we make every effort to ensure session content is accurate and relevant, we make no warranties — express or implied — regarding the outcomes of our services. Financial situations vary significantly between individuals, and the education provided cannot account for every factor relevant to your personal circumstances.

We do not guarantee any specific financial result or outcome following engagement with our services.

11. Limitation of Liability

To the fullest extent permitted by Thai law, Oryxwell's total liability to any client for any claim arising from our services shall not exceed the amount paid for the specific Service in question. We shall not be liable for indirect, incidental, consequential, or special damages of any kind, including financial losses resulting from decisions made on the basis of our educational sessions.

12. User Conduct

When using our website or attending sessions, you agree not to:

• Provide false or misleading information
• Attempt to disrupt or damage our website or systems
• Reproduce or distribute our materials without written permission
• Engage in conduct that is abusive, threatening, or unlawful

13. Termination

Either party may terminate an engagement before services are fully delivered. Where Oryxwell terminates, a pro-rated refund will be provided for sessions not yet delivered. Where a client terminates mid-service, refund eligibility depends on the stage of delivery and the applicable cancellation terms above.

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or the services provided shall be subject to the jurisdiction of the courts of Chiang Mai Province, Thailand. We encourage informal resolution of disputes in the first instance — please contact us at [email protected] before commencing formal proceedings.

15. Changes to These Terms

We may update these terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised terms.
